Securities

Trident is widely recognized for its skills and experience in securities litigation. It has assisted clients, from Big Four accounting firms to Fortune 500 financial institutions, in successfully resolving class action disputes. Drawing on a wealth of academic expertise, Trident provides expert assistance through every step of the process, from class certification to exposure analysis to settlement discussions to trial.

Trident has addressed complex issues relating to market efficiency analyses, calculation of per-share damages, examination of trading behavior, market timing and late trading of mutual funds, valuation of fixed income and derivative products, valuation of intangible assets, valuation of companies, economic analyses of loss causation, and supervisory goodwill litigation.

For example, Trident was retained by counsel for a Big Four accounting firm being sued by a class of investors in a former client (the "company") of the accounting firm. Among the allegations made in the suit was that the accounting firm materially misrepresented transactions between the company and certain of its special purpose entities, and that disclosure of these misrepresentations damaged investors by preventing the company from being able to raise capital.

Trident's experts and professionals conducted a detailed analysis of the alleged misrepresentations and demonstrated that they, even if true, caused no damages because they had no impact on the company's ability to raise capital or on its share price. Trident established that the company's difficulties in raising capital and its general liquidity restraints occurred prior to, and were independent of, the alleged misrepresentations, and were instead caused by operational issues and changes in capital markets. Trident's work was instrumental in the case being settled on favorable terms.
